Tesco Polska sells five large retail properties | Progresiv
Tesco Polska has offloaded five big-box property assets to Vistra Limited Partnerships, according to a regulatory filing. The companies Snowfinch 19 and Zodiac notified in the UOKiK the intention to carry out the concentration, consisting in the takeover of a group of five Vistra Limited Partnerships, to which five commercial properties, currently owned by Tesco Polska, will be brought earlier. These are "areas intended for large-format stores", located in various Polish cities. Locations were not disclosed by companies submitting their intention to concentrate. 
The transaction will formally involve the acquisition of five related companies with the joint name of Vistra Limited Partnerships by Snowfinch and Zodiac and will be carried out through corporate vehicles co-controlled by applicants.
The acquisition of control will consist in the acquisition of 100% of all rights and obligations, respectively, of the limited partner and general partner in the acquired companies, to which 5 real estate will be brought earlier - each of the companies will own one property.
The information provided in the application shows that both acquiring entities are holding companies indirectly controlled by natural persons. Snowfinch is controlled by three people who are co-owners of a wider capital structure - the 4fi Group. Zodiac belongs to the Origami capital group, jointly controlled by four persons. None of these companies currently operate in Poland.
Also, the companies being acquired are currently not operating. In the real properties that will be brought to them, the current owner - Tesco Polska - is currently conducting "activities related primarily to the retail sale of consumer goods for everyday use via large-area stores and the rental of retail and service areas in shopping centers".
